Meeting of the Board of Directors

Moscow: February 24, 2011 saw another meeting of the Board of Directors of JSC Aeroflot.

The Board of Directors set June 18, 2011 as the date for a regular annual general meeting of shareholders of Aeroflot. The meeting will start at 10.00 am at Melkisarovo office of the Company (Moscow, Mezhdunarodnoe shosse 31/1).

May 3, 2011 is set as the date to identify persons eligible to attend the annual general meeting of shareholders.

Pursuant to article 48 of the federal law on “joint stock companies” 14 items entered the agenda of the upcoming meeting as suggested by shareholders. The agenda lists items mandatory for consideration at the annual general meeting as well as items on approval of the Articles of association and of the Regulation on the general meeting of shareholders of Aeroflot in a new edition.

15 people are approved to enter the candidate list for the Board of Directors, with 11 of them to be elected to the Board at the next annual general meeting of shareholders of the Company at June 2011.

The list of candidates as proposed by the Government of the Russian federation includes:

  • Kirill Androsov – independent expert (independent director);
  • Vladimir Dmitriev – Chairman, Vnesheconombank;
  • Kirill Levin - independent expert (independent director);
  • Igor Levitin – Minister of transport of the Russian Federation;
  • Gleb Nikitin – Deputy head, RosImuschestvo;
  • Vitaly Saveliev - General Director, JSC Aeroflot;
  • Andrew Stolyarov – independent expert (independent director);
  • Victor Chemesov - General Director, Rostekhnologiya.

LLC Aeroflot-finance proposed the following candidates:

  • Vitaly Saveliev - General Director, JSC Aeroflot;
  • Dmitry Saprykin - Deputy General Director for Legal and Property issues, JSC Aeroflot.

OJSC National Reserve Bank nominated the following candidates:

  • Sergey Aleksashenko – Director for macroeconomic research, Higher School of Economics;
  • Evgeny Bachurin - Independent expert;
  • Leonid Dushatin – Deputy General Director, CJSC National Reserve Corporation;
  • Boris Eliseev - Rector of Moscow State Technical University of Civil Aviation;
  • Aleksandr Kanischev - Deputy General Director, CJSC National Reserve Corporation, Chairman of the Board of Directors, CJSC Red Wings;
  • Konstantin Teterin - General Director, CJSC red Wings airline.

The Board approved the list of seven candidates to the Audit Committee of Aeroflot with five of them to be elected at the annual general meeting of shareholders.

The Board of Directors approved a major deal to acquire new aircrafts from Boeing company or its affiliated companies. The General Director of Aeroflot Vitaly Saveliev is empowered to enter into relevant agreements.
